Terms of Service

Tonpit (“Tonpit,” “we,” “us”) is operated by Itay Rose Ari, Yehuda HaNasi 13, Tel Aviv 6920013, Israel. By creating an account or using Tonpit (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

You must be at least 18 years old to use Tonpit. If you use Tonpit for a company or other organization, you confirm that you may bind it to these Terms, and “you” includes that organization.

For accounts created before September 29, 2026, this version applies from October 29, 2026; until then the previous version applies.

Tonpit is a video production studio for people and their AI agents. It includes:

• AI image and video generation from prompts and media you provide
• Motion graphics written as code, and templates to start from
• The Studio timeline editor, captions, and export to video
• AI voiceover and a library of music and sound effects
• UI Capture: capturing websites, through our browser extension or from a web address
• Brand kits built from a website you name
• Built-in AI assistants, and connecting your own AI agents to your account

Features change as we develop the product. Features marked beta, experimental or early access may be unstable, may change significantly, and may be removed without notice.

You sign in with Google or with an email and password. You agree to:

• Give accurate account information and keep your sign-in secure
• Tell us promptly about any unauthorized use of your account
• Take responsibility for everything done with your account, including by AI agents you connect

You can connect outside AI agents (for example Claude or ChatGPT) to your account through our connector or a personal access token. A connected agent acts as you: within the permissions and monthly spend ceiling you set, it can read and change your projects and spend your credits. You are responsible for what your connected agents do, and what an agent reads from Tonpit is handled by that agent’s provider under your agreement with them. You can disconnect an agent at any time in Settings. We may limit or block agent access that disrupts the Service.

Credits

AI features run on credits. Media generations (images, video, voiceover) have per-unit prices shown in the app; AI assistant work is priced by the computing it actually uses. Prices may change as our providers’ costs change, never for work already done. We announce a price change in the app before it applies, and if it lowers what your unused purchased credits buy, you may ask for a refund of those credits within 30 days of the change. A generation that fails on our side is refunded automatically, and a failed export does not count against your exports.

• Free credits: a one-time signup grant and a monthly free allocation, both requiring a verified email. The monthly allocation resets each month and does not carry over
• Plan credits: included with a paid plan every month, on monthly and annual plans alike. They reset monthly and do not carry over
• Purchased credits: one-time top-ups. They do not expire while your account is open, have no cash value, and cannot be transferred

Plans and the free tier also include export allowances and daily limits on some actions that cost no credits, as shown in the app.

Subscriptions

• Plans are billed monthly or annually and renew automatically until cancelled
• Payments are processed by Lemon Squeezy, our Merchant of Record, which sells the plan and credits to you and handles taxes. We never see or store your card details
• If a payment fails, plan credits and exports pause until the payment method is updated; purchased credits stay usable
• We give at least 30 days’ notice before a price increase, and your current billing period is honored

Cancellation

You can cancel at any time from Settings. You keep your plan until the end of the period you paid for; after that your account returns to the free tier and your projects stay. Deleting your account cancels your subscription and forfeits any remaining credits.

Refunds

• Subscriptions: a full refund on request within 14 days of your first payment. After that, partial billing periods are not refunded
• Credit top-ups: unused purchased credits are refundable within 14 days of purchase
• Credits already spent are not refundable, including when you are unhappy with an AI result, since the processing cost has been incurred
• EU, EEA, UK and Switzerland: before checkout you ask us to start right away and confirm that you lose your 14-day right to cancel for what you use. Your right to cancel stays for anything you have not used

Refunds are paid by Lemon Squeezy and usually take 5–10 business days. Nothing in these Terms limits refund or cancellation rights you have under the consumer protection laws of your country.

You agree not to use Tonpit to:

• Break the law or infringe anyone’s rights, including copyright, trademark, privacy and publicity rights
• Create sexual content involving minors, sexual or intimate content of a real person without their consent, or content that harasses, threatens or defames
• Depict or imitate a real person’s face or voice without their permission, or impersonate anyone in a misleading way
• Upload images, video or audio of other people without the right to use them
• Collect personal information about others, or access pages you are not authorized to see, through UI Capture, brand kits or an assistant reading the web
• Run code meant to attack, probe or overload Tonpit or anyone else
• Get around usage limits, access controls or payment, including by opening accounts to collect free credits
• Access the Service with automated tools other than the agent connections we provide
• Reverse engineer the Service, or resell it without our permission
• Use the Service or its outputs to build or train a product that competes with Tonpit or its AI providers
• Create realistic depictions of an identifiable child without a parent’s or guardian’s consent

You also agree to follow the usage policies of the AI providers that generate your content, listed in our Privacy Policy; a request a provider refuses is not generated. We may remove content or suspend accounts that break these rules, as sections 10 and 17 describe.

Ownership: You keep ownership of the prompts, text, media, code and other content you put into Tonpit.

License to us: You give us a limited license to host, copy, process and transmit your content, including making technical versions such as previews and transcodes and sending it to the providers listed in our Privacy Policy, only to provide the Service to you. This license ends when you delete the content, except for copies needed to complete what you asked for. Who at Tonpit may look at your content, and why, is set out in the Privacy Policy (section 5).

Links: Uploaded and generated media is served through direct links that anyone with the exact link can open. The links cannot be guessed, but do not upload content you need to keep strictly confidential.

Deleting: Deleting a project removes it with its timeline, script and code. Its media files stay, because other projects may use them, until you delete them or your account. Deleting your account removes everything.

Your responsibility: You are responsible for having the rights to what you upload, capture or ask us to fetch, including the permission of people who appear in it.

Websites you capture: When you capture a website, build a brand kit from one, or ask an assistant to read one, you direct us to load that page for you. Its layout, text, images and fonts may belong to the site’s owner. You are responsible for having the right to use that material and for following the site’s terms.

Tonpit uses outside AI providers, listed in our Privacy Policy, to generate images, video, audio, text and code. For what you generate:

• Ownership: As between you and us, you own the outputs generated from your inputs: to the extent any rights in them exist, we assign them to you and claim none ourselves. Material generated by AI may not be protected by copyright
• Commercial use: You may use outputs commercially, subject to this section
• No guarantees: Outputs are provided “as is.” We do not guarantee they are accurate, unique or fit for a purpose, and similar outputs may be generated for others
• Third-party rights: Outputs can resemble existing works. We do not warrant that they do not infringe others’ rights
• Your review: Review outputs before you use them. You are responsible for how you use them, including any AI-disclosure rules where you publish
• AI markers: Some outputs carry embedded markers or metadata identifying them as AI-generated. Do not remove them where the generating provider requires them to stay

The music and sound effects in Tonpit’s library are licensed to you, not sold. We have the rights to grant this license, and you may use library audio in the videos and other productions you make, including commercially: ads, social media, client work. This includes music tracks you download from the library. The license for a video you made continues after your subscription or account ends.

You may not:

• Sell, share, redistribute or sublicense library audio on its own, or as part of a music or sound collection or library
• Register library audio with YouTube Content ID or any other fingerprinting service
• Use library audio to train AI models

Library audio is created with AI tools. It is not exclusive to you, and similar audio may exist elsewhere. If an automated system flags a video for library audio, contact us and we will help you resolve it.

Illegal content: to report content hosted on Tonpit that you believe is illegal, email hello@tonpit.com with where it is and why you believe it is illegal. We review every report, tell you what we decided, and when we remove content or restrict an account we tell the affected user why and how to reply.

Copyright: our designated agent for copyright complaints is Itay Rose Ari, Yehuda HaNasi 13, Tel Aviv 6920013, Israel, hello@tonpit.com. A complaint must include: (a) the copyrighted work, (b) where the material is, (c) your contact information, (d) a statement that you believe in good faith the use is unauthorized, (e) a statement, under penalty of perjury, that the complaint is accurate and that you own the rights or may act for the owner, and (f) your physical or electronic signature.

We remove or disable material named in a valid complaint and tell the user who posted it. That user may send a counter-notice with the same details, a statement under penalty of perjury that the material was removed by mistake, and consent to the jurisdiction of the courts where they live (or Tel Aviv, if outside the United States); we then restore it after 10 business days unless the complainant tells us they have gone to court. We close the accounts of repeat infringers.

Tonpit, including its design, code, prompts, templates and branding, is owned by Itay Rose Ari. You get a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. If you send us feedback, we may use it without paying or crediting you.

If you use Tonpit for a business and your content includes other people’s personal data, such as clients, employees or people who appear in videos, our Data Processing Addendum is part of these Terms and applies to that data. You are responsible for having a legal basis and giving any notices required for it.

Tonpit relies on outside providers for sign-in, hosting, AI generation, rendering and payments, listed in our Privacy Policy. We are not responsible for their availability, and a provider or model may change or be withdrawn.

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, that outputs will meet your needs, or that every error will be corrected.

To the maximum extent permitted by law, Itay Rose Ari is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or business opportunities.

Our total liability for any claim is limited to the amount you paid us in the twelve (12) months before the claim, or $100, whichever is greater.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, gross negligence or willful misconduct, or any other liability that cannot be limited by law.

Some jurisdictions do not allow these limits. There, our liability is limited as far as the law allows, and nothing in these Terms limits rights that cannot be waived under the laws of your country.

You agree to indemnify and hold harmless Itay Rose Ari from third-party claims, damages and expenses arising from:

• Content you or agents you connect upload, capture, generate or publish
• Your breach of these Terms, or your violation of the law or of anyone’s rights

This does not apply to the extent we caused the claim.

By you: You can stop using Tonpit and delete your account in Settings at any time.

By us: We may suspend or close an account that breaks these Terms, fails to pay, or puts the Service or others at risk. Unless the risk is urgent or the law prevents it, we tell you first, say why, and give you a chance to reply. If we close your account without a breach on your part, we refund your unused purchased credits.

When your account ends, your right to use the Service ends. Sections 7 to 9, 11 to 18 and 20 survive, and so does the license for videos you already made with library audio.

These Terms are governed by the laws of Israel, and disputes are decided by the competent courts of Tel Aviv, Israel. If you are a consumer, you keep the protection of the mandatory consumer laws of your country of residence, and you may also bring proceedings in the courts where you live.

Before starting legal proceedings over a dispute under $10,000, both sides will first try to resolve it informally for at least 30 days.

We may update these Terms. We will tell existing users about material changes in the app or by email at least 30 days before they apply to them. New accounts accept the version in force when they sign up. If you do not accept a change, you can cancel before it applies and get a pro-rated refund of prepaid plan fees for the remaining period and of your unused purchased credits. Continuing to use Tonpit after a change applies means you accept it.

• Assignment: we may transfer these Terms to a company we form or to a successor to the Service, and we will tell you when we do. You may not transfer them without our consent
• Notices: we send notices to your account email or in the app; send yours to hello@tonpit.com
• Sanctions: you may not use Tonpit if you are in a country, or are a person, subject to comprehensive sanctions under U.S., EU, UK or Israeli law. Some AI providers are not available in every country
• Events beyond our control: we are not responsible for failures caused by events we cannot reasonably control, such as outages of our providers
• Whole agreement: these Terms, with the Privacy Policy and, where it applies, the Data Processing Addendum, are the whole agreement between us about the Service. If a provision is unenforceable, the rest still applies. Not enforcing a provision is not a waiver of it
